| dc.description.abstract | ÖZET: Çalışmanın konusunu inşaat sektöründe sıklıkla başvurulan joint venture sözleşme ilişkisinin incelenmesi oluşturmaktadır. Joint venture’ın mevzuatlarda çok sınırlı, dolaylı ve tek düze olmayan bir şekilde düzenlenmesinden dolayı hukukun farklı alanlarında, doktrin ve içtihatlarda muğlak bir kavram olarak yerini almış ve çoğu zaman benzer başka müesseselerle karıştırılmasına yol açmıştır. Çalışmada, inşaat şirketlerinin uygulamaları gözetilerek, ilgili olan mevzuatlar, doktrin çalışmaları, içtihatlar, bazı uluslararası kurumların bu konuda yayımladığı sözleşme taslakları detaylıca incelenerek yukarıda bahsi geçen muğlaklıkların aydınlatılması ve temel olarak bir inşaat şirketinde joint venture sözleşmesi hazırlanırken hangi hukuki bilgileri gözetmek gerektiği tespit edilmeye çalışılmıştır. Çalışma sonucunda, i) joint venture’ın adi ortaklık temeline dayanan bir sözleşme ilişkisi olduğu yinelenmiş; ii) terminolojisinin sorunlu olduğu; iii) salt sözleşmeye dayalı joint venture türünün daha çok kullanıldığı; iv) adi ortaklık hükümlerinin çoğunun bu sözleşme tipine uygulanabildiği; v) uygulamada neredeyse bir tüzel kişiliği varmış gibi yorumlanabilmesinin mümkün olduğu; vi) bazı müesseseler ile benzeştiği; vii) birçok hukuk alanıyla kesiştiği; vii) inşaat hukuku uygulamasında sözleşmenin düzenlenmesinde bazı konulara daha fazla önem atfetmek gerektiği ve bazı konuların tespit edilmesinin zor olduğu sonuçlarına ulaşılmıştır. | en_US |
| dc.description.abstract | ABSTRACT: The subject of the study is the examination of the joint venture contract relationship, which is frequently used in the construction sector. Due to the very limited, indirect, and non-uniform regulation of joint venture in the legislation, it has taken its place as an ambiguous concept in different fields of law, doctrines and case law, and has often been mistaken with other similar concepts. This study aims to clarify the ambiguities mentioned above by examining in detail the relevant legislation, doctrine studies, case law, contract drafts published by international organizations, taking into account the actual practices of construction companies with the goal of determining the important legal information while preparing a joint venture agreement. As a result of the study, i) it was reconfirmed that the joint venture is a contractual relationship based on an ordinary partnership and it has been concluded that ii) its terminology is problematic; iii) the contractual type of joint venture is used more often; iv) most of the provisions of the ordinary partnership can be applied to this type of contract; v) in practice, it is possible to interpret it almost as if it has a legal personality; vi) it is similar to some concepts; vii) it intersects with many areas of law; viii) some issues are particularly important in the arrangement of the contract in the construction law practice and some issues are difficult to determine. | en_US |
