| dc.description.abstract | ÖZET: Sözleşmenin devri konulu bu tez çalışması, İstanbul Bilgi Üniversitesi Hukuk Fakültesi Lisansüstü Programlar Enstitüsü Özel Hukuk Doktora Programı kapsamında hazırlanmıştır. Sözleşmenin devri, Türk hukukunda ilk kez 6098 sayılı Türk Borçlar Kanunu ile düzenlenmiştir. Türk Borçlar Kanunu m. 205’de, sözleşmenin devrinin tanımı ile devir sözleşmesinin ne şekilde kurulacağı açıklanmıştır. Sözleşmenin devri, üçüncü bir kişinin, sözleşme ilişkisinde yer alan taraflardan birinin, taraf olma sıfatı da dahil olmak üzere bütün hak ve borçlarıyla birlikte yerini almasıdır. Sözleşmede kalanın da bu taraf değişikliğine razı olması, bir başka deyişle devir sözleşmesine katılımı gerektiğinden, sözleşmenin devri sözleşmesi üç taraflı bir hukuki ilişkidir. Tezin birinci bölümünde genel olarak sözleşmenin devri, tarihçesi, benzer kurumlardan farkları, hukuki niteliği, geçerlilik koşulları incelenmiştir. Sözleşmenin devrini ele alan eserlerde, tarafların birbirine karşı olan yükümlülüklerinin ayrıntılı olarak ele alındığına pek rastlanmamıştır. Bu bakımdan hüküm ve sonuçlar ile tarafların hak ve yükümlülükleri ikinci bölümde ağırlıklı olarak ele alınmıştır. Üçüncü bölümde ise, kira sözleşmesi, hizmet sözleşmesi gibi kanunun özel hükümler sevk ettiği sözleşmelerin devirleri incelenmiş, genel düzenleme ile bu özel hükümlerin ayrıştığı noktalar üzerinde durulmuştur. Dönme, fesih, muvazaa, uyarlama ve benzeri durumların sözleşmenin devrinde arz ettiği özelliklere değinilmiştir. | en_US |
| dc.description.abstract | ÖZET: This PhD dissertation on the transfer of contract has been prepared within the scope of Private Law Doctorate Program of Istanbul Bilgi University Faculty of Law Graduate Programs Institute. Transfer of the contract was regulated for the first time in Turkish law with the Turkish Code of Obligations No. 6098. Turkish Code of Obligations explains the definition of the transfer of the contract and how the transfer contract will be established in Art. 205. Transfer of contract is a replacement of one of the parties to the contractual relationship, with all rights and obligations, including being a side, with a third party. The transfer of the contract is a three-sided legal relationship since the remaining party should participate in the transfer contract, in other words, he must consent to this change. In the first part of the thesis, the transfer of the contract is examined in history, differences from similar institutions, legal nature, and validity conditions. In the doctrine, it has not been found that the obligations of the parties to each other are discussed in detail. In this respect, the provisions and results, and the rights and obligations of the parties are mainly discussed in the second part. In the third part, the transfer of contracts, such as lease contracts, and service contracts, to which the law refers to special provisions, are examined, and the points where these special provisions differ from the general arrangement are emphasized. The features of rescission, termination, collusion, adaptation, and similar situations in the transfer of the contract are mentioned. | en_US |
