Özet
Gelişen dünya düzeni bazı iş ve işlemlerin yürütülmesi için iş görme sözleşmeleri kurulmasını ve başka kimselerden yardım alınmasını zorunlu hale getirmiştir. Vekalet sözleşmesi, kanunda düzenlenen genel nitelikteki bir iş görme sözleşmesidir. Vekalet sözleşmesinin temeli olan güven unsuru ve başkası yararına iş görme prensibi açıklanan bu çalışmada, vekalet sözleşmesi incelenmiş, vekalet ilişkisinde, vekilin özen ve şahsen ifa borçları değerlendirilmiştir. Vekalet sözleşmesi incelendiğinde, vekalete konu işin özenle yürütülmesi ve şahsen ifa edilmesi, sözleşmenin ayırt edici noktalarından kabul edilebilecektir. Çalışmanın ilk bölümünde genel olarak vekalet sözleşmesinin yapısı, hukuki niteliği, kurulması ve kapsamı üzerinde durulacaktır. Çalışmanın ikinci bölümünde vekilin özen borcunun niteliğinden, temelinden, özen kavramından ve özen borcuna yaklaşımlardan bahsedilecektir. Borçtan sorumluluk ve borcun sona ermesi halleri ortaya konulacaktır. Üçüncü ve son bölümde ise vekilin şahsen ifa borcu açıklanacak, hukuk sistemimizde istisnai olarak karşılaşılan şahsen ifa borcunun amacı üzerinde durulacak işin üçüncü kişilere gördürülmesi halleri irdelenecek, vekilin şahsen ifa borcundan sorumluluğu ve borcun sona ermesi değerlendirilecektir.
The developing world order has made it necessary to make a contract for works and services and get help from other people in order to carry out some works and transactions. Agency contract is a general contract for works and services regulated by law. In this study, the element of trust, which is the basis of the agency contract and the principle of acting for the benefit of others are explained, the agency contract is examined, and the agent's duty of care and duty of personal performance in the agency relationship are evaluated. When the agency contract is examined, the careful execution and personal performance of the work subject to the agency contract can be considered as the distinguishing points of the contract. In the first part of the study, the structure, legal nature, establishment and the scop of the agency contract will be discussed in general. In the second part of the study, the nature and basis of the agent's duty of care, the concept of care and approaches to the duty of care be discussed. Responsibility for the obligation and the termination of the obligation will be set forth. In the third and the last part, the agent's duty of personal performance will be explained, the purpose of the duty of personal performance which is encountered exceptionally in our legal system will be emphasized, the cases of having the work done by third parties will be examined, the agent's responsibility for the duty of personal performance and the termination of the obligation will be evaluated.
