Applicability of the Rule on Bona Fides Acquisition of Moveables (TCC Art. 988) to Gratuitous Transfers

Abstract

Pursuant to Article 988 of the TCC, a person who takes possession of a moveable in good faith in order to become its owner is protected therein even if the moveable was entrusted to the transferor without any authority to effect the transfer. The rule does not explicitly embody a condition that such transfer shall be made for value. For this reason, the prevailing view in the Turkish legal doctrine is that such bona fide acquisitions should be protected even if they are made without consideration. Although the semantics and historical interpretation of the relevant provision supports this view, considering the various other rules regarding gratuitous acquisitions in our law, the purpose of the rule and the related comparative law data, making a teleological reduction and limiting the scope of the provision to transfers for value is considered appropriate.TMK m. 988 uyarınca, bir taşınırın emin sıfatıyla zilyedinden iyi niyetle yapılan kazanımlar, devreden kişinin tasarruf etkisinin eksikliği adeta onarılarak geçerli kabul edilir. Düzenlemede kazanımların ivazlı olup olmamasına göre bir ayrıma rastlanmamaktadır. Bu nedenle Türk hukuku öğretisindeki hâkim görüş, emin sıfatıyla zilyetten yapılan kazanımların ivazsız dahi olsalar korunması gerektiği yönündedir. İlgili düzenlemenin lafzi ve tarihsel yorumu bu görüşü destekler nitelikte olsa da hukukumuzda karşılıksız kazandırmalara ilişkin muhtelif hükümler, düzenlemenin amacı ve karşılaştırmalı hukuk verileri dikkate alındığında, hükmün teleolojik redüksiyona tâbi tutularak ivazlı kazanımlara hasredilmesi yerinde gözükmektedir.
