REKABET HUKUKU VE ÖZEL HUKUK AÇISINDAN AKARYAKIT DAĞITIM SÖZLEŞMELERİ II: GELİNEN NOKTA, SORUNLAR VE DEĞERLENDİRMELER

Abstract

Akaryakıt dağıtım piyasasındaki dikey ilişkiler bir süreden beri Rekabet Kurumu’nu meşgul etmektedir. Genellikle 15 sene süreli intifa ve 5 sene süreli bayilik sözleşmelerinden oluşan dikey ilişkinin ihtilaf konusu yapılmasının temel nedeni, bayinin sağlayıcı olan dağıtım şirketine ekonomik açıdan bağlanmasıdır. Ekonomik tabiiyet sorunu olarak adlandırabileceğimiz bu sorun, esas itibarla taraflar arasındaki bir özel hukuk sorunudur. Fakat rekabet etmeme yükümlülüğü içeren sözleşmenin, intifa sözleşmesi nedeniyle fiilen 5 seneden uzun olması, bunu aynı zamanda bir Rekabet Hukuku sorunu haline getirmekte ve özellikle bayiler Rekabet Hukukunu manivela olarak kullanmaktadırlar. Rekabet Kurulu yakın dönemde verdiği kararlar ile içtihat değişikliğine gitmiş ve intifa sözleşmelerinin de Rekabet Hukuku kapsamında olduğunu belirtmiştir. Bunun sonucu olarak, bu dikey ilişkilerin grup muafiyetinden yararlanmaları için azami 5 sene olarak akdedilmeleri gerekmektedir. Pek çok sözleşme ise, 18.9.2010 tarihinden itibaren grup muafiyeti kapsamı dışında kalacak ve geçersizlik riskine muhatap olacaktır. İşte bu makalenin konusu da, bu sorunun özel hukuk ve Rekabet Hukuku açısından incelenmesidir. Bu bağlamda, mevcut hukuki durum açıklandıktan sonra, sözleşmelerin süresinden önce sona ermesine bağlı olarak ortaya çıkan geçersizlik ve sebepsiz zenginleşme gibi sorunlar ele alınacak ve gelecek dönem hakkında değerlendirmeler yapılacaktırThe problems stemming from the vertical relations in fuel distribution market have been prepossessed the agenda of the Turkish Competition Authority for sometime. The reason why these relations have been a subject matter of an intense legal dispute has to do with the problem of economic subordination of dealers to fuel suppliers/distributors. In this unique vertical relation, the supplier first acquires the usufructs rights in property with a contract in rem for 15 years and then appoints the owner as his dealer in the same property with a 5 year dealership contract. In effect, the duration of this vertical relation is determined by the duration of usufructs right given that the dealer has no viable economic option to terminate the dealership contract. The legal disputes stemming from these relations have a predominantly private law character. However, 15 years duration coupled with non-competition clauses in dealership contracts converts these disputes to a competition law issue as well. Accordingly the dealers use competition law as a leverage in their private law conflicts. The Competition Board recently changed its opinion in this issue and began to apply the Competition Law prohibitions to usufructs contracts which had been previously considered solely as a private law matter. Resulting from this new case law, duration of both these contracts should be limited with five years maximum in order to benefit from the block exemption Regulation. The contracts which are currently in effect will be uncovered from the Regulation and exposed to the nullity risk unless they are revised until 18.9.2010, the deadline which is designated by the Competition Board
