Öğe Board structure in listed firms: evidence from an emerging economy(Emerald Group Publishing Ltd, 2014) Oba, Beyza; Tigrel, Elvin; Sener, PinarPurpose - This paper aims to understand the determinants of board structure of listed firms at institutional, industry and firm levels within an emerging economy. At the institutional level, the paper explores laws, managerial culture and the role of state in instituting and endorsing corporate governance practices. At the firm level, ownership patterns (family and non-family), experience in the capital markets, age and size of the firms are studied to find out the relation between these variables and the board structure. Design/methodology/approach - The research domain of the study is listed firms operating on the Istanbul Stock Exchange. The data for the study are collected at two phases; at the first phase, compliance reports, annual reports, articles of association and annual shareholders' meeting reports of each firm in the sample are analyzed. At the second stage, secondary data are used for understanding the dynamics of Turkish institutional context. Findings - The results of this study reveal that boards of directors of listed Turkish firms comply with the governance practices instituted by state agencies, except on issues as independent members and committees that will influence the majority owners' control domain and private benefits. Originality/value - This paper draws attention on institutional context and argues that good governance instruments developed for Anglo-Saxon stock market-controlled business systems provide limited explanation for an emerging economy that is characterized by close cooperation between the state, family-owned businesses and financial markets. Recent problems faced by various companies in certain economic systems forced the widespread adoption and implementation of corporate governance logic and principles by various types of companies. This study describes the successful implementation of corporate governance (CG) principles by Dogan Yayin Holding (DYH) which is Turkey's leading media-entertainment conglomerate. The company's success in implementing the CG principles led to the improvement of its company image, gaining prestige in the eyes of foreign institutional investors, and improving its internal and external control mechanisms. The research site is the Eclipse software development community led by IBM and based on data collected from activities of community members, we examine the attempts of participants to construct and refine a hybrid governance structure while developing and expanding the community. Drawing on strategy-as-practice approach and institutional theory, we bring arguments at two instances of this co-evolution process: the initiation and enactment. For the initiation of the community we argue that, beyond market-driven considerations, tensions and polarisation in the existing proprietary regimes, governance structures, and philosophies promote new practices. Approaches from social network analysis are deployed to assess centrality of artifacts in this network and identify cohesive subgroups and levels of cohesion. Our results demonstrate major groups centered around key standard tracks, and application of network metrics reflect different levels of cohesion for these groups. The majority of survey variables devised to capture perception of public administrators around Europe regarding the importance they attach to the factors such as F/OSS product quality, availability of support, expertise and documentation, TCO, vendor lock-in, political influence, administrative attitudes, productivity, and training costs, all of which intermingle with financial, technical, legal, and personal issues. The analysis consist of depiction of respondents' administration profile in terms of their F/OSS usage and adoption, descriptive summary and analyses of factors mentioned above, and statistical inferential analyses of survey items. Some valid statistical tests are conducted to understand, to discuss and to see the extend and significance of any F/OSS adoption generalizations for Europe based on the findings of this particular survey. © 2007 International Federation for Information Processing.Öğe Power in the boardroom: a study on Turkish family-owned and listed companies(Emerald Group Publishing Ltd, 2010) Oba, Beyza; Ozsoy, Zeynep; Atakan, SerapPurpose - The purpose of this study is to understand the power dynamics of the boards of directors in family-owned and listed Turkish companies. Power and dominance in the boardroom can be studied in relation to three variables: the institutional environment in which the firm is embedded; the structural configurations of the board; and the top manager's propensity to exercise his/her power resources. Focusing on the board level, this paper aims to conceptualize power dynamics as being composed of structural attributes, roles assumed, responsibilities, dependency and representation. Design/methodology/approach - The research domain of this exploratory study is family-owned and listed companies operating on the Istanbul Stock Exchange (ISE). The data for the study were collected from three different sources: a survey administered to members of the boards of directors; discourse analysis of corporate governance compliance reports of the same companies; and in- depth interviews conducted with board members. Findings - This study shows that on a typical board of directors of a family-owned and listed Turkish company, the interests of owners and managers are aligned and other stakeholders are not represented; the role of the board is confined to visibility and legitimacy and does not include control. Originality/value - This paper argues that theories developed for Anglo-Saxon equity-market based business systems have limited exploratory power for an emerging economy - namely Turkey - that is based on a business system characterized by close co-operation between the state, family-owned businesses and financial markets.Öğe The role of employer unions in hegemonic struggle, interest representation and promotion of managerial perspectives in Turkey(Routledge Journals, Taylor & Francis Ltd, 2007) Cakmakci, Ufuk; Oba, BeyzaThis article explores power and hegemony in the context of industrial relations in Turkey. Analysis of interest, articulation and representation is built around three strands: a Gramscian reading of hegemony, periodization through the political economy of industrial relations and the communicative action staged by the prominent employer union. Starting with the 1970s, continuities and shifts in discourse are identified. The rise and fall of different voices (i.e. insiders and outsiders) in texts point towards a search for a full blown hegemony in the 1990s with a new set of challenges confronted and resolved through new legislation passed in 2003.Öğe Taming of Openness in Software Innovation Systems(Igi Global, 2017) Gencer, Mehmet; Oba, BeyzaIn large-scale Open Source Software (OSS) innovation ecosystems that incorporate firms, a variety of measures are taken to tame the potentially chaotic activities and align the contributions of various participants with the strategic priorities of major stakeholders. Such taming rests on the dual desires of this emergent community of firms to unleash the innovation potential of OSS and to drive it to a certain direction, and it emerges in the form of various organizational activities. By drawing on a sample of large-scale OSS ecosystems, we discuss that methods employed for taming are isomorphic, and overview the emerging strategic pattern for establishing systems of innovation. This pattern involves a related set of practices to balance virtues of OSS community while introducing corporate discipline. In contrast to approaches such as open innovation, which favor isolated reasoning, we present a systemic and historical perspective to explain the continuum in emergence and establishment of strategic patterns.Öğe Unifying nature of food: consumer-initiated cooperatives in Istanbul(Emerald Group Publishing Ltd, 2020) Oba, Beyza; Ozsoy, ZeynepPurpose This paper aims to study how activists involved in consumer-initiated cooperatives, in a specific context, challenge the practices of the neoliberal system and develop counter-practices that are ingrained with their values. It aims to access the transformative capacity and inclusiveness of consumer-initiated cooperatives and the role played by prefigurative practices in changing the status quo. Three practices - defetishization of agricultural commodities, surplus generation and distribution, prefiguration - that enable the inclusion of those groups who are marginalized in the food production and consumption nexus by neoliberal policies are identified. Design/methodology/approach The findings of this paper were developed from 23 unstructured interviews, participant observation and analysis of the social media accounts of five consumer-initiated cooperatives located in different districts of Istanbul and which are involved in a collective response to the neoliberal policies. Findings The study discusses that, in a specific context, political events and economic policies can be a catalyst for the initiation of alternative consumer-initiated cooperatives. The findings indicate that these organizations can develop and articulate prefigurative practices that are influential in transforming the prevailing capitalist food provisioning system to be more inclusive. Research limitations/implications The findings offer an alternative view to the dominant capitalist logic and advance the concept of how the economic sphere can be re-politicized and how the persevering notion of financial performance is resolved by invoking values of inclusion, solidarity, responsibility and sharing. The findings are based on the study of five cases in a specific context during a specific period. Originality/value This paper focuses on cooperatives owned and governed by activist consumers and presents results concerning their underlying practices for creating a food provisioning system that is inclusive and aiming for social justice and equality. Similarly, it provides evidence of how local political and economic conditions influence the appropriation and development of these practices - commodity defetishization, surplus distribution and prefiguration.Öğe Value creation in crowdfunding projects-evidence from an emerging economy(De Boeck Universite, 2018) Oba, Beyza; Atakan, Serap; Kirezli, OzgeCrowdfunding facilitates resource provision for a project from a large audience where individuals contribute in small amounts. Based on the premises of value co-creation and information asymmetry in reward-based and all-or-nothing crowdfunding models we hypothesize that if a project is successful it creates a value proposition and signals it efficiently. Drawing on a sample of 354 projects hosted by three platforms which operate on reward-based model in Turkey, this paper offers an explanation about what contributes to the success or failure of a project. It suggests that platform reputation, project quality and entrepreneurial capacity of the project owners are associated with the success of a project.
