Sürdürülebilirlik ile ilgili kamusal desteklerin halka açık anonim şirketlerin kârına ve kâr dağıtım kararı üzerinden şirket ortaklarına etkileri

Abstract

Bu çalışma sürdürülebilirlik uygulamalarının çerçevesinde sağlanan kamusal desteklerin halka açık anonim şirketlerin kârına ve kâr dağıtım kararı üzerinden şirket ortaklarına etkilerini incelemektedir. Sermaye piyasasına tabi olan şirketler özelinde bu çalışmanın yürütülmesinin amacı kamuya mal olmuş verileri kullanarak bir analiz gerçekleştirilebilmesi ve bu analizden elde edilen sonucun hukuki boyutunun okuyucu ile paylaşılabilmesidir. Tezin kapsamını belirlemek adına halka açık anonim şirketlere odaklanılmış olup halka açık şirketler özelinde payları borsada işlem gören ve görmeyen şirket ayrımına gidilmeyerek farklılaşan mevzuat düzenlemelerine gerekli yerde açıklama getirilmiştir. Sürdürülebilirlik alanında sağlanan kamusal destekler üzerinde yoğunlaşılmasının sebebi devletin gerçekleştirdiği sayısız uygulama içerisinde hukuk, muhasebe, vergi gibi çeşitli alanlara aynı anda temas etmesidir. Bu sayede örneklem olarak uygulamada yaygın görülen ve seçilen kamusal destekler inceleme kapsamı dışında tutulan sürdürülebilirlik alanında sağlanan diğer desteklerin etkileri açısından da yol gösterici olabilecektir. İşbu tez ile şirket ve şirket ortaklarının devletin sürdürülebilirlik alanında sağladığı finansal desteklerin kâra ilişkin nasıl bir süzgeçten geçirerek değerlendirdiği örnekler üzerinden anlatım bulacaktır. İlaveten şirketin kâr dağıtım kararı verip vermemesinin şirket ortaklarına etkileri üzerinde durulmuş olup şirket ortaklarının yalnızca şirkette pay sahibi olan kişilerden oluşmadığı devletin, yatırımcının, bankanın da şirketin paydaşı olduğu hallerin hukuki dayanakları incelenmiştir. Çalışmanın önemi devletin geliştirdiği sürdürülebilirlik alanındaki kamusal destek uygulamalarının şirketin kârına etkilerini hukuki yönden destekleyerek açıklayan, bu uygulamaların şirketin kâr dağıtım kararına etkisini ve şirket hissedarından ibaret olmayan şirket ortaklarının kimler olduğunu ve nasıl etkilendiklerine yer vermiş bir çalışmanın literatürde bulunmamasından gelmektedir. Bu kapsamda çalışmayı kamusal destekleri örneklem seçerek, mevzuatta karşılaştırma yaparak ve bilgiler arası nedensellik ilişkisi kurarak yazmaktaki amacım ekonomi ve hukuk alanları arasında sıkışmış kâr konusuna ait kavramların hem hukuk hem de ekonomi alanında çalışan kişiler tarafından v okunduğunda anlaşılabilir olmasını sağlayarak uygulamadaki kullanımları önünü kesmektir.This study examines the effects of public funding or financial aid provided within the framework of sustainability practices on the profits of publicly held joint stock companies and on company partners through profit distribution decisions. The purpose of conducting this study specifically for companies subject to the capital market is to be able to perform an analysis using publicly available data and to share the legal aspects of the results obtained from this analysis with the reader. In order to determine the scope of the thesis, the focus has been on publicly held joint stock companies, and the differing legislative regulations have been explained where necessary, without making a distinction between listed and non-listed companies. The focus on public financial aid provided in the field of sustainability is due to the numerous practices implemented by the state, which simultaneously touch upon various areas such as law, accounting, and taxation. Therefore, the public support examples selected and commonly seen in practice can also provide guidance regarding the impact of other financial aids provided in the field of sustainability, all of which are not within the scope of the study. Selected financial public aid can also illustrate the use of commonly used support in practice. This thesis will explore, through examples, how companies and their shareholders evaluate the state's sustainability practices through a profit-related filter. Additionally, it will examine the impact of a company's decision to distribute profits on its stakeholders which are not limited to shareholders but also include the state, investors, and banks. In addition, the effects of whether the company makes a profit distribution decision or not on the company partners are emphasized and the legal basis of the situations where the company partners are not only the people who have shares in the company and where the state, the investor and the bank can also be considered as a stakeholderof the company is examined. The importance of the study comes from the lack of a study in the literature that explains the effects of the public support practices in the field of sustainability developed by the state on the company's profit with legal support, the effect of these practices on the company's profit distribution decision, and who the company's partners, who are not just vii shareholders, are and how they are affected. In this context, my aim in writing this study by selecting public supports as a sample, making comparisons between legislations and establishing a causal relationship between information is to prevent incorrect usage in practice by ensuring that the concepts related to the subject of profit, which are stuck between the fields of economics and law, are understandable when read by people working in both the fields of law and economics.
